Cohesion Terms of Use

This Cohesion Application is a mobile based platform for the purpose of reporting extraordinary events by individuals to emergency service providers. Any use of Cohesion is subject to the below Terms of Use.

SoRND built COHESION as a Free app. COHESION is provided by SORND at no cost and is intended for use as is. COHESION is anonymous: we collect only event-related content you choose to post publicly. Per your expressed, prior and revocable consent, COHESION may use your device’s location and camera to make your posting easier, but we will not collect this information.

Your Event Data will be exposed and collected by FAP’s that SoRND entered a contract with. To remove doubt, COHESION allows your information to be transferred directly to FAP’s without it being collected, stored or processed by SoRND, unless User or FAP disclose information to us.

1. User’s Acknowledgment and Acceptance of Terms 

SoRND an Israeli company (referred to as “Cohesion”, “us,” or “we”) provides a programed application platform of COHESION (the “Application”) and various related services, subject to compliance by you with all the terms, conditions, and notices contained or referenced herein (the “Terms of Use” or “TOU”), and subject to any other written agreement between you and us. When using or purchasing services on this Application, you shall be subject to any posted guidelines or rules that may contain terms and conditions in addition to those in these Terms of Use.  All such guidelines or rules are hereby incorporated by reference into these Terms of Use.

BY USING THIS APPLICATION, YOU AECCEPT THESE TERMS OF USE. IF YOU DO NOT AECCEPT THESE TERMS OF USE, PLEASE EXIT THIS APPLICATION NOW. YOUR REMEDY FOR DISSATISFACTION WITH THIS APPLICATION, OR ANY SERVICES OR GOODS AVAILABLE ON OR THROUGH THIS APPLICATION, IS TO STOP USING THIS APPLICATION AND/OR THOSE PARTICULAR SERVICES OR GOODS. YOUR AGREEMENT WITH US REGARDING COMPLIANCE WITH THESE TERMS OF USE BECOMES EFFECTIVE IMMEDIATELY UPON COMMENCEMENT OF YOUR USE OF THIS APPLICATION.

These Terms of Use are practical as of October 6, 2021. These Terms of Use were written in English (US).  To the extent that any translated version of these Terms of Use conflicts with the English (US) version, the English (US) version controls.

We reserve the right to change these Terms of Use from time to time with or without notice. Your continued use of this Application after such modifications will constitute your acknowledgment of the modified Terms of Use and agreement to abide and be bound by the modified Terms of Use.

2. Definitions

These will constitute definitions in these Terms of Use:

  • “Affiliate(s)” shall refer to entities controlled by, controlling, or under common control with SoRND, including our owners, parent companies, subsidiaries, affiliated companies, officers, directors, suppliers, partners, agents, sponsors, advertisers, and employees, and includes (without limitation) all parties involved in creating, producing, and/or delivering this app and/or its Services.
  • “SoRND,” “we,” “us,” and “our” shall include references to SoRND, address Hativat Harel 159, Karmiel, Israel.
  • “Platform” shall refer to the SoRND’s mobile-based Application platform for End Users which are not FAP’s or any of its behalf.
  • “Content” shall include any documents, information, communication, advertisement, software, photo, video, graphics (including illustrations, images, drawings, logos), music, sound, text, and other material and services that Users can upload and\or view on the Platform. 
  • “Device” shall include references to an electronic device (e.g., personal computer or mobile device) enabling the User to access the Platform or Services or other communications with the SoRND or its Affiliates. 
  • “Metadata” shall include technical data associated with User Content, which can, among others, describe how, when, and by whom a piece of Content was created, collected, modified, and how that Content is formatted.
  • “Service(s)” shall include services available, but not limited to Users, and shall include providing a platform for Users to share publicly Event Data and Content.
  • “User(s)” is defined as you and anyone who uses the Application and anyone you use the Application for, but under the condition that you are not FAP or any of its behalf. Use can include but is not limited to reading, browsing, or viewing content, ordering services or goods, making a payment, or transferring information.
  • “You,” “your,” and “yourself” shall include references to the party reading, acknowledging, and agreeing to these terms, including User, but under the condition that you are not FAP or any of its behalf.
  • “First Aid Provider” or “FAP” is defined as a User who wishes to receipt nonpersonal information regarding significant and extraordinary Events that the Application Users reported during their use of COHESION.
  • “Event” – significant or extraordinary event, described by a User during its use of the Application. An Event may be an earthquake, fire, storm, flood, aircraft accident, massive potential damage to nature, property, or life, or any other event that a User believes that FAP emergency services may be needed for.
  • “Event(s) Data” – Any Content regarding an Event collected from Users, SoRND’s Affiliates, and public sources. This Event Data is anonymized data and we do not knowingly include personal data.

3. Application Services

The Application provides services of Events Data distribution to FAP’s. An Event Data may include raw data as uploaded by Users to the Application or data checked and sorted by Us.

The Event Data may include information about significant and extraordinary event, described by a User while its use of the Application, such as: earthquake, fire, storm, flood, aircraft accident, massive potential damage to nature, property or life, or any other event that a User believes that FAP emergency services may needed.

The Application’s goal and recommended FAP use of it is for gathering quick and beneficial Event Data and assist as fast as reasonably can to solve or eliminate risk and damage from humans, nature, or property.

The use of our Services by users which are not FAP’s is anonymous. Therefore, per law limitations, we will do our best commercial efforts, that the source of uploaded Content will remain unknown.

Event Data upload by User and download by FAP is conditioned by their full compliance with these Terms of Use, legislation per Application instructions and applicable law.

Event Data that is exposed to FAP will not include any personal data unless User’s consent was given us explicitly.

Even it might be difficult to supervise Your Application use, we expect Your full honesty and loyalty to Us and the rest of the Application Users, while reserve our right to stop the Application use if we will suspect a User breach of these Terms of Use or applicable law.

You are solely responsible for providing, at your own expense, all equipment necessary to use this Application and our services, including a computer and modem, mobile devices and mobile applications (including those needed to send text, SMS, and MMS messages), and your Internet access (including payment of telephone service fees associated with such access).

We reserve the sole right to modify or discontinue this Application, including any services or goods therein, at any time, with or without notice. We shall not be liable to you or any third party for any claims or damages arising out of or relating to our exercise of such right.  Modifications may include but are not limited to, changes in the pricing structure, the addition or removal of fee-based services, or changes to limitations on allowable file sizes. Any new features that augment or enhance the then-current services on this Application shall also be subject to these Terms of Use.

You understand and agree that temporary interruptions of this Application, including scheduled maintenance or upgrades for emergency repairs, or failure of telecommunications links or equipment, may occur. You further understand and agree that we have no control over third-party networks you may access in this Application’s use. Therefore, delays and disruption of other network transmissions are completely beyond our control.  We shall not be liable to you or any third party for any claims or damages arising out of or relating to such interruptions, delays, or disruptions.

In addition to any excuse provided by applicable law, we shall be excused from liability for non-delivery or delay in delivery of services or goods available through our Application, arising from any event beyond our reasonable control, whether or not foreseeable by either party, including but not limited to, labor disturbance, war, fire, accident, pandemic, adverse weather, inability to secure transportation, governmental act or regulation, and other causes or events beyond our reasonable control, whether or not similar to those which are enumerated above.

You understand and agree that this Application is provided “AS IS,” “AS AVAILABLE” and “WITH ALL FAULTS” and that we assume no responsibility for the timeliness, deletion, delivery, wrong delivery, storage, or failure to store any of Your content (defined below).

4. Conduct on Application

If you are under the age of 18, you may not access or use the Application. Cohesion cannot verify a user’s age, but if the foregoing requirement is violated, we reserve the right to discontinue your access to and use of the Application with or without notice to you.

You agree to use the Application only for lawful purposes. You are solely responsible for the knowledge of and adherence to any laws, statutes, rules, and regulations of your use of this Application. 

By accessing or using this Application, you agree that you will not Use this Application to commit a criminal offense or to encourage others to engage in any conduct that would constitute a criminal offense

We neither endorse nor assume any liability for the content uploaded or submitted by you or other Users of the Application. We generally do not pre-screen, monitor, or edit the content posted by User of our Application.  However, we have the right at our sole discretion to remove any content that, in our judgment, does not comply with these TOU or is otherwise harmful, objectionable, or inaccurate. We are not responsible for any failure or delay in removing such content. You hereby consent to such removal and waive any claim against us arising from such removal of content. 

Not all areas of this Application may be available to all. Users who violate systems or network security may incur criminal or civil liability.

We prohibit crawling, scraping, caching, or otherwise accessing any content on this Application via automated means, except as the result of standard search engines or technologies used by a search engine with our express consent.

You agree that we may at any time, and at our sole discretion, terminate your access or use of the Application without prior notice to you for violating any of the above provisions. Also, you acknowledge that we will cooperate fully with investigations of violations of systems or network security at other Applications, including cooperating with law enforcement authorities in investigating suspected criminal violations.

5. Approve Process

In order to access Application services, you will have to complete the approve process and to give your consent to these TOU and Privacy Policy.

6. User Content Upload

We expect that your use of COHESION will be for good and honest purpose. You should completely avoid from upload any content to COHESION that may be offensive, illegal, cause damage, hurt others feeling or infringe others’ rights (“Unlawful Content”). We are not obligated to sort or check user’s uploaded content, but we reserve the right to remove any User that may use COHESION for Unlawful or Nonhost reasons.

Note that our services do not include, and we are not obligated to save or process any content for any period. If you uploaded content that is important to you, we recommend you save it not through us.

Uploaded content will be visible to FAP’s, users and others. we are not responsible to any others use of content uploaded to the Application.

7. Registration Data and Privacy

You understand and agree that we reserve the sole right to grant Users limited access to and use the Application and our services.

These Terms of Use also apply to Users granted even limited access to the Application or the use of the Application limited services.

We wish that your use of the Application will be anonymous. Therefore, In the process of using the Application, you will not be asked to provide Personal Information about you.

8. No Fees

We will charge no fees for your Application use. Nevertheless, you may be charged by third parties for their services, such as cellular and connectivity services companies.

9. Cancellation and Refunds

Your Application removal from your cellular devices will take effect immediately and you will not be able to use Cohesion services anymore.

10. Third-Party Applications and Information

This Application may link you to Other Applications on the Internet or otherwise include a reference to other third parties’ information. These Other Applications are not controlled by us and may contain information that some people may find incorrect, inappropriate, or offensive. You acknowledge that we are not responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of the Information of such Other Applications, nor are we responsible for errors or omissions in any references to other parties or their products and services. The inclusion of such a link or reference is provided merely as a convenience. It does not imply endorsement of, or association with, the Other Application by us, or any warranty of any kind, either express or implied.

The Application uses and includes Google Maps features and content. Your use of the Application and Google Maps application features and content is subject to the then-current versions of the: (1) Google Maps/Google Earth Additional Terms of Service at https://maps.google.com/help/terms_maps.html; and (2) Google Privacy Policy at https://www.google.com/policies/privacy/.

11. User’s content and Information

All Content and Data you transmit to this Application will be Subject to our Privacy Policy.  While you retain all rights in your content and Personal Information, you grant us and our Affiliates, our designated licensees are nonexclusive, perpetual, and worldwide right to use your Content for the purposes described by these Terms of Use and our Privacy Policy, regardless of the form or medium (now known or not currently known) in which it is used. We will implement strict information security policies per our procedures and applicable law.

12. Use of Application and Storage of content

You acknowledge that we may establish general practices and limits concerning the use of the services on our Application, including without limitation, the maximum number of days that uploaded content will be retained on the Application, the maximum disk space that will be allotted or our servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the services in a given period. You agree that we have no responsibility or liability for the deletion or failure to store any content maintained or transmitted on or through this Application. You acknowledge that we reserve the right to change these general practices and limits at any time, in our sole discretion.

13. Notification Services

We may send push messages through the app, or other similar services available to Users, either directly or through a third-party provider.

14. Intellectual Property

By accepting these Terms of Use, you acknowledge and agree that all content presented to you on this Application is protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws, and is the sole property of  COHESION and/or its Affiliates. You are permitted to use such content only for your own observation. You will not remove, alter or conceal any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying this Application without prior written permission from us.

You may not copy, reproduce, modify, republish, upload, post, transmit, or distribute content from this Application in any form or by any means without prior written permission from us. Any unauthorized use of the content appearing on this Application may violate copyright, trademark, and other applicable laws and may result in criminal or civil penalties.

The “Cohesion” and “SoRND” names and logos are our trademarks, and may not be copied, imitated, or used, in whole or in part, without our prior written permission.  All custom graphics, icons, logos, and service names are registered trademarks, trademarks, or service marks of Cohesion or its Affiliates. Nothing in these Terms of Use grants you any right to use any trademark, service mark, logo, and/or the name of Cohesion or its Affiliates.  All page headers, custom graphics, button icons, and scripts are our service marks, trademarks, and/or trade dress, and may not be copied, imitated, or used, in whole or in part, without our prior written permission.

We respect the intellectual property of others, and we ask you to do the same. If you believe that your or any other copyright, trademark, or other property rights have been infringed by content on this Application, you are requested to send us an e-mail notification immediately.

You may not copy, reproduce, modify, republish, upload, post, transmit, or distribute content by this Application if you do not have the legal right to do so, and you may not infringe third parties privacy, copyright or any other legitimate rights while your use of this Application.

15. Disclaimer of Warranties

ALL CONTENT, SERVICES, AND GOODS IN THIS APPLICATION PROVIDED, DISTRIBUTED, TRANSMITTED, AND MADE AVAILABLE ON AN “AS IS,” “AS AVAILABLE” AND “WITH ALL FAULTS.”

ALL CONTENT, SERVICES, AND GOODS IN THIS APPLICATION PROVIDED BASIS TO THE FULLEST EXTENT PERMISSIBLE BY LAW, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF TITLE, THE WARRANTY OF NONINFRINGEMENT, OR THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT THIS APPLICATION, CONTENT, SERVICES OR GOODS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; WILL BE UNINTERRUPTED, TIMELY, SECURE, OR FREE FROM MISTAKES, ERRORS, DEFECTS OR COMPUTER VIRUSES; WILL BE EFFECTIVE, ACCURATE, OR RELIABLE.

This Application could include technical or other mistakes, inaccuracies, or typographical errors. We may make changes to the content, goods, and services at this Application, including the prices and descriptions, at any time without notice. The content, goods, and services at this Application may be out of date, and we do not commit to update such content, goods, and services.

THE USE OF THIS APPLICATION, CONTENT, SERVICES, AND GOODS, IS DONE AT YOUR DISCRETION AND RISK AND WITH YOUR AGREEMENT THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY LOSS, DAMAGE, OR INJURY.

Through your use of the Application, you may have the opportunities to engage in transactions with other Users and/or third parties. We make no warranty regarding any transactions executed through or in connection with this Application, and you understand and agree that such transactions are conducted entirely at your own risk.

We or our Affiliates do not warrant any content, goods or services of a third party available on or through the Application.

Content available through this Application may represent the opinions and judgments of an information provider, User, or other person or entity not connected with Cohesion. We do not endorse, nor are we responsible for the accuracy or reliability of, any opinion, advice, or statement made by anyone other than an authorized Cohesion spokesperson speaking in his/her official capacity.

16. Limitation of Liability; Waiver

IN NO EVENT SHALL WE OR OUR AFFILIATES BE LIABLE TO YOU OR ANY OTHER USER OR THIRD PARTY FOR ANY DAMAGES, LOSSES, INJURIES OR EXPENSES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, SPECIAL, PUNITIVE, EXEMPLARY, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES, PERSONAL INJURY OR DEATH, OR ANY LOSS, DAMAGE, INJURY OR EXPENSE ARISING OUT OF YOUR USE OF THIS APPLICATION OR RESULTING FROM THE LOSS OF USE, DATA, GOODWILL  OR PROFITS), ON ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT, OR OTHERWISE), WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, LOSSES OR INJURIES, OR EXPENSES, DIRECTLY OR INDEIRECTLY ARISING OUT OF OR RELATING TO (A) THE USE OF, THE INABILITY TO USE, THE PERFORMANCE OR THE NON-PERFORMANCE OF THIS APPLICATION, (B) YOUR PERSONAL INFORMATION ON THIS APPLICATION; (C) ANY USER OR A THIRD-PARTY CONTENT ON THIS APPLICATION; (D)  ANY ERRORS OR OMISSIONS IN THIS APPLICATION’S OPERATION; (E) ANY ACTION TAKEN IN CONNECTION WITH COPYRIGHT OR OTHER INTELLECTUAL PROPERTY OWNERS; (F)  ANY DAMAGE TO YOUR OR ANY THIRD-PARTY’S COMPUTER, MOBILE DEVICE, OR OTHER EQUIPMENT OR TECHNOLOGY,  INCLUDING  DAMAGE FROM ANY SECURITY BREACH OR FROM ANY COMPUTER VIRUS, BUG, TAMPERING, FRAUD, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER LINE OR NETWORK FAILURE OR ANY OTHER TECHNICAL OR OTHER MALFUNCTION; (G) ANY USE OR ACTION MADE BY YOU WHILE RELYING INFORMATION OR CONTENT AVAILBLE IN THE APPLICATION.

SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

IN NO EVENT SHALL WE OR OUR AFFILIATES BE LIABLE TO YOU FOR THIRD-PARTY GOODS OR SERVICES OFFERED BY US OR THROUGH THIS APPLICATION OR FOR COMMERCIAL TRANSACTIONS CONDUCTED THROUGH THIS APPLICATION, INCLUDING WITHOUT LIMITATION PROCESSING OF ORDERS, SALES OR PURCHASES OF USER OR THIRD-PARTY GOODS OR SERVICES.

YOU RELEASE US AND OUR AFFILIATES FROM ANY CLAIMS FOR DAMAGES, LOSSES, INJURIES OR EXPENSES, KNOWN AND UNKNOWN, DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO ANY USER OR THIRD PARTY, GOODS OR SERVICES OFFERED THROUGH THIS APPLICATION.

IN NO EVENT SHALL WE OR OUR AFFILIATES BE RESPONSIBLE FOR THE ACTIONS OR CONTENT OF USERS, OR THIRD PARTIES. YOU RELEASE US AND OUR AFFILIATES FROM ANY CLAIMS FOR DAMAGES, LOSSES, INJURIES OR EXPENSES, KNOWN AND UNKNOWN, DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO ANY ACTIONS OR CONTENT OF ANY USER OR THIRD PARTY.

YOU AGREE THAT IN THE EVENT YOU INCUR ANY DAMAGES, LOSSES, INJURIES OR EXPENSES THAT DIRECTLY OR INDIRECTLY ARISE OUT OF OR RELATE TO OUR ACTS OR OMISSIONS, THE DAMAGES, LOSSES, INJURIES OR EXPENSES, IF ANY, CAUSED TO YOU ARE NOT IRREPARABLE OR SUFFICIENT TO ENTITLE YOU TO AN INJUNCTION PREVENTING OUR USE OR EXPLOITATION OF ANY APPLICATION, SERVICE, PROPERTY, PRODUCT,  OR OTHER CONTENT OWNED OR CONTROLLED BY US OR OUR AFFILIATES, AND YOU WILL HAVE NO RIGHTS  TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, DISTRIBUTION, ADVERTISING, EXHIBITION, OR EXPLOITATION OF ANY APPLICATION, SERVICE, PROPERTY, PRODUCT, OR OTHER CONTENT OWNED OR CONTROLLED BY US OR OUR AFFILIATES.

YOUR EXCLUSIVE REMEDY AND OUR ENTIRE LIABILITY, IF ANY, FOR ANY CLAIM BY YOU FOR DAMAGES, LOSSES, INJURIES OR EXPENSES DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR YOUR USE OF THIS APPLICATION OR OUR SERVICES SHALL BE LIMITED TO THE AMOUNT YOU PAID US.

ANY CLAIM BROUGHT BY YOU AGAINST US OR OUR AFFILIATES MUST BE INSTITUTED WITH ONE YEAR AFTER THE CLAIM ACCRUES OR BE DEEMED FOREVER AND PERMANENTLY WAIVED AND BARRED.

17. Indemnification

Upon a request by us, you (and also any third party for whom you operate an account or activity on this Application) agree to defend, indemnify, and hold us and our Affiliates harmless from and against all claims for damages, losses, injuries and/or expenses, including attorneys’ fees and costs, that directly or indirectly arise from or relate to any of the following (including as a result of your activities on this Application or those activities conducted on your behalf): (i) your actual or alleged use or misuse of this Application; (ii) your Event Data; (iii) your actual or alleged breach of these Terms of Use; (iv) your actual or alleged violation of any third-party right, including any intellectual property right, publicity, confidentiality, property or privacy right; (v) your actual or alleged breach of any laws, rules, including all regulatory, administrative and legislative authorities; (vi) any actual or alleged misrepresentation made by you; all as amended, or any rules, regulations or guidelines promulgated thereunder, or any similar federal, state or local law, code or regulation.

You will cooperate as fully required by us in defense of any claim. We reserve the right to assume the exclusive defense and control of any claim subject to indemnification by you, and you will not, in any event, settle any claim without our prior written consent.

18. International Use

Although this Application may be accessible worldwide, we make no representation that content on this Application is appropriate for use by you in locations outside Israel and accessing it from territories where it is illegal or prohibited. Those who choose to access this Application from other locations do so on their own risk and are responsible for compliance with local laws. Any offer for any product, service, and/or information made in connection with this Application is void where prohibited.

This Application is not intended for distribution or use by any person or entity in any jurisdiction or country where such distribution or use would subject us to any registration requirements within such jurisdiction or country. 

We reserve the right to limit this Application to any person, geographic area, or jurisdiction, at any time and in our sole discretion.

19. Termination of Use

You agree that we may, in our sole discretion, terminate or suspend your access to all or part of the Application. Your termination may occur without notice, for any reason, including, without limitation, breach of these Terms of Use. Any suspected fraudulent, abusive, or illegal activity may be grounds for terminating your account and may be referred to appropriate law enforcement authorities.

Upon termination or suspension, your right to access or use this Application will immediately cease. You acknowledge and agree that we may prevent any further access to such content or this Application. We shall not be liable to you or any third party for any claims or damages arising from or relating to any termination or suspension, or any other actions taken by us in connection.

Sections 2, 20 – 24 of these Terms of Use and your liability for any unpaid fees shall survive any termination.

20. Governing Law; Choice of Venue

These Terms of Use and your relationship with us shall be governed by the laws of the State of Israel, without regard to any law conflict principles. 

You agree that all claims asserted by or against us arising out of or related to these Terms of Use shall solely be heard and determined in a court located in Tel Aviv, Israel.

21. Notices

All notices from you to us shall be in writing and shall be made via e-mail or a postal mail. Notices to us must be sent to the attention of Customer Service at office@sornd.com, if by e-mail, or at COHESION, Hativat Harel 159, Karmiel, Israel if by a postal mail, return receipt requested. Notices from us to you may be sent to the address or e-mail address supplied for your account as part of your Registration Data. Also, we may broadcast notices or messages through the Application to inform you of changes to this Application or other matters of importance, and such broadcasts shall constitute notice to you.

Any notices or communication under these Terms of Use will be deemed delivered to the party receiving such communication (1) on the delivery date if delivered personally to the party; (2) five business days after the receiving date, if sent by postal mail, return receipt requested; or (3) on the delivery date if transmitted by e-mail.

22. Entire Agreement

These Terms of Use constitute the entire agreement and understanding between us concerning the subject matter hereof and supersedes all prior agreements and understandings of the parties with respect thereto. These Terms of Use may not be altered, supplemented, or amended by the use of any other document.  Any attempt to alter, supplement or amend these Terms of Use or to purchase or enter an order for goods or services subject to additional or altered terms of use shall be null and void unless otherwise agreed to in a written agreement signed by you and us. To the extent that anything in or associated with this Application is in conflict or inconsistent with these Terms of Use, these Terms of Use shall prevail.

23. Miscellaneous

You may not assign your rights and obligations under these Terms of Use to any third party, and any purported attempt to do so shall be null and void. We may freely assign our rights and obligations under these Terms of Use.

If any part of these Terms of Use is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions of these Terms of Use shall remain in full force and effect.  Neither the course of conduct between us and you nor trade practice will act to modify these Terms of Use.  These Terms of Use do not confer any third-party beneficiary rights.

Any failure by us to enforce or exercise any provision of these Terms of Use or related rights shall not constitute a waiver of that right or provision.  No waiver of any of these Terms of Use will be deemed a further waiver of those Terms of Use or any other Terms of Use. 

The headings contained in these Terms of Use are for convenience of reference only and shall not constitute a part hereof or define, limit or otherwise affect the meaning of any of the terms or provisions hereof.

Cohesion Privacy Policy

1. Introduction

SoRND developed COHESION as a Free app. COHESION is provided to you by SoRND at no cost and is intended for use as is. COHESION is anonymous: SoRND helps FAP’s to collect only event-related content you choose to post publicly. Per your expressed, prior and revocable consent, COHESION may use your device’s location and camera to make your posting easier, but we will not collect this information.

This SoRND Privacy Policy (the “Privacy Policy”) applies to your use, installation, download, exploitation, and access to the Services and the Platform, both as defined below.

Your Event Data will be exposed and collected by FAP’s that SoRND entered a contract with. To remove doubt, COHESION allows your information to be transferred directly to FAP’s without it being collected, stored or processed by SoRND, unless User or FAP disclose information to us.

This Privacy Policy governs only SoRND use of the Event Data disclosed to us by User or FAP’s, while SoRND is NOT responsible of FAP’s or others use of your Event Data. Your consent to this Privacy Policy or use of COHESION will be considered as your approval to User or FAP’s to disclose your Event Data to Us.

SoRND respects the right to privacy, protects personal data and applies appropriate organizational and technical solutions to prevent third parties’ interference with Users’ privacy. By using, installing, downloading, exploiting, accessing the Services or the Platform, you accept the practices described in this Privacy Policy to the extent permitted by law. 

You should not share personal information when using the Services and the Platform. Given the social nature of some of the Services, that information may be collected, used, or disclosed by others who are part of that social interaction. Other Users and third parties may search for, see, use, or share any of your Content that you make publicly available through the Services or the Platform. Note that once you have shared Content or made it public, that Content may be re-shared by others. Suppose you remove information that you posted to the Service and/or the Platform. In that case, copies may remain viewable in cached and archived pages of the Service and/or the Platform, or if other Users or third parties using the Service and/or the Platform have copied or saved that information. In addition, some features of the Services are designed to provide others with information about the User’s activity. We encourage you to be mindful of this when considering your Services and/or the Platform activity.

2. Definitions

These will constitute definitions in this Privacy Policy:

  • “Affiliate(s)” shall refer to entities controlled by, controlling, or under common control with SoRND, including our owners, parent companies, subsidiaries, affiliated companies, officers, directors, suppliers, partners, agents, sponsors, advertisers, and employees, and includes (without limitation) all parties involved in creating, producing, and/or delivering this app and/or its Services.
  • “SoRND,” “we,” “us,” and “our” shall include references to SoRND , address Hativat Harel 159, Karmiel, Israel.
  • “Platform” shall refer to the SoRND’s mobile-based Application platform for End Users which are not FAP’s or any of its behalf.
  • “Content” shall include any documents, information, communication, advertisement, software, photo, video, graphics (including illustrations, images, drawings, logos), music, sound, text, and other material and services that Users can upload and\or view on the Platform. 
  • “Device” shall include references to an electronic device (e.g., personal computer or mobile device) enabling the User to access the Platform or Services or other communications with the SoRND or its Affiliates. 
  • “Metadata” shall include technical data associated with User Content, which can, among others, describe how, when, and by whom a piece of Content was created, collected, modified, and how that Content is formatted.
  • Service(s)” shall include services available, but not limited to Users, and shall include providing a platform for Users to share publicly Event Data and Content.
  • “User(s)” is defined as you and anyone who uses the Application and anyone you use the Application for, but under the condition that you are not FAP or any of its behalf. Use can include but is not limited to reading, browsing, or viewing content, ordering services or goods, making a payment, or transferring information.
  • “You,” “your,” and “yourself” shall include references to the party reading, acknowledging, and agreeing to these terms, including User, but under the condition that you are not FAP or any of its behalf.
  • “First Aid Provider” or “FAP” is defined as a User who wishes to receipt nonpersonal information regarding significant and extraordinary Events that the Application Users reported during their use of COHESION.
  • “Event” – significant or extraordinary event, described by a User during its use of the Application. An Event may be an earthquake, fire, storm, flood, aircraft accident, massive potential damage to nature, property, or life, or any other event that a User believes that FAP emergency services may be needed for.
  • “Event(s) Data”  Any Content regarding an Event collected from Users, SoRND’s Affiliates, and public sources. This Event Data is anonymized data and we do not knowingly include personal data.

3. Collected Information

We will not Collect your personal information or your Event Data, although that FAP’s or users may disclose your Event Data to us. These is the information that we may collect if data will be disclosed to us:

  • Content that You Post: You may post Content to the Service or share through the Service, such as your Event Data, pictures, videos, and any information regarding an Event.
  • Information User Provides or Includes in Content: You have choices about the information to include in your Content, such as your Metadata associated with Content. The Information in your Content helps you get more from our Service, including by giving FAPs a better opportunity to communicate with you and address your uploaded Event Data. It is your choice whether to include sensitive information in your Content. Please do not post or add personal data to your Content that you would not want publicly available.
  • Metadata: Users can add or may have Metadata associated with or added to their Content, including a hashtag (e.g., to mark keywords when you post a photo), geotag (e.g., to mark your location to a photo), comments, or other data concerning the creation, collection or editing of Content. This way, Content is more informative or interactive. Suppose your photos are geotagged or tagged using other’s APIs. In that case, your latitude and longitude will be stored with the image and accessible and searchable (e.g., through a location or map feature) if your photo is made public by you in accordance with your privacy settings.  Similarly, if your documents are tagged with Metadata, the Metadata will be stored with the document and accessible and searchable.

These is the information that we may collect directly by us:

  • Communications between you and SoRND: For example, we may send you Service-related push up messages.  Note that you may not opt-out of Service-related push up messages
  • Customer-Support communications: If you contact us for customer support, we may ask you to provide information about your computer/mobile Device or about the issues you are trying to resolve. This information is essential to help us answer your questions. We may monitor or record your requests and our responses for quality control purposes.

4. How We Use Your Information disclosed to us:

In addition to some of the specific uses of information we describe in this Privacy Policy, we may use Information that SoRND receive to:

  • Operate, maintain, enhance, provide, create, approve, develop, and test all of the features, functionality, and services (new or existing) found on and/or in the Services; provide security for our websites, products, software, or applications; remember information so you will not have to re-enter it during your visit or the next time you visit the Service; manage relationships with Users; improve Users’ experience with the Services and/or the Platform by providing content recommendations and by delivering Content that SoRND hopes Users will find relevant and interesting; provide personalized Content and Information to you and others; allow you to participate in the Services; monitor metrics such as total number of visitors, traffic, and demographic patterns; diagnose or fix technology problems; automatically update the SoRND Services on your computer, mobile phone, or other Device; provide you with goods or services; respond to your requests or questions. Prevent fraud and abuse; and understand the usage trends of SoRND’s Users, among others.
  • SoRND will rely on legal grounds to collect and process information to the extent permitted by applicable law, which may include, without limitation: to honor contractual commitments, to take steps in anticipation of entering into a contract, to fulfill legal obligations, your consent, and SoRND’s legitimate interests.

5. Purpose and Grounds for Processing Event Data if disclosed to SoRND:

  • The provision by the user of the Even Data referred to in this Privacy Policy shall be made with the User’s consent.  Users must consent to the processing of data when start using the Platform. Refusal to FAPs and our use the Event Data by the User will result in the refusal to provide certain Services by SoRND.
  • By checking the check box on the Platform, you consent to process Event Data you uploaded to the Platform by FAP and us if the data disclosed to us; and confirm that you have read and accepted this Privacy Policy.
  • SoRND processes the Event Data to provide the Services. Processing aimed to fulfill User’s selected Services, handling complaints, withdrawing from service and communication with Users who have made a complaint or declaration of withdrawal from the contract for the provision of Services, as well as ensuring the security and fair use of the Services.
  • In addition, SoRND processes the Event Data referred to in this Privacy Policy to pursue the legitimate interests of SoRND, such as: Conducting marketing by SoRND; Promotion of Services of SoRND; Tailoring the Services to the needs and convenience of Users, including personalizing Content on the Services; Statistical measurements and improvement of the Services; and other legitimate interests, whether now existing or hereinafter created.

6. Sharing Information if disclosed to SoRND:

We will not be exposed to Event Data directly, but if it was disclosed to us:

  • We will not share your information with third parties outside SoRND (or the group of businesses legally part of the same group of companies that SoRND is part of) without your consent, except as noted in this Privacy Policy.
  • Parties with whom we may share your information are:
  • FAP’s that we believe their knowledge of your Event Data may be beneficial to fulfill the Purposes of Cohesion as described in our Terms of Use.
  • Affiliates are either subject to this Privacy Policy or follow practices at least as protective as those described in this Privacy Policy. Our Affiliates may use this information to help provide, understand, and improve the Service (including by providing analytics) and Affiliates’ services (including providing you with better and more relevant experiences).
  • Third-party that help us provide the Service to you (“Service Providers”). Our Service Providers will be given access to your information as is reasonably necessary to provide the Service under reasonable confidentiality terms. The information shared with Service Providers may include tools like cookies, log files, and device identifiers, and location data.
  • We may disclose Information if SoRND believes in good faith that: such disclosure is necessary to comply with any local, state, or federal laws or other applicable laws around the world (for example, in the country of User’s residence); to respond to a court order, judicial or another government request; to warrant in the manner legally required.
  • We reserve the right to disclose Information that SoRND believes, in good faith, is appropriate or necessary to: protect SoRND from potential liability or fraudulent, abusive, or unlawful uses; investigate and defend ourselves against third-party claims or allegations; protect the security or integrity of the Services and/or the Platform; or protect the rights, property, or safety of SoRND, our users, or others.
  • If we sell or transfer part or the whole of SoRND or our assets to another organization (e.g., in the course of a transaction like a merger, acquisition, bankruptcy, dissolution, liquidation), your Data Event and any other information collected through the Service may be among the items sold or transferred. The buyer or transferee will have to honor the commitments we have made in this Privacy Policy.
  • We will remove parts of data that can identify you and share anonymized data with other parties. We may also combine Event Data with additional information so that it is no longer associated with you and share that aggregated information.

7. Entities to Event Data are Made Available by SoRND

We will not be exposed to Event Data directly, but if it was disclosed to us:

  • SoRND may transfer or disclose Event Data to entities processing Event Data, in particular to IT service providers, service technicians, or marketing agencies (“Processors”).
  • The transfer or disclosure of the Event Data takes place on the basis of an agreement, to entrust the processing of Event Data, between SoRND and Processors.
  • Agreement on entrusting the processing of Event Data in particular:
  • Obligates processors to ensure the security and confidentiality of the User’s Event Data provided or shared; and
  • Entitles SoRND to verify the application by processors of appropriate security measures for the User’s Event Data, provided or disclosed by SoRND.
  • SoRND has a legal obligation to transmit or disclose the Event Data at the request of authorized state authorities, in particular law enforcement authorities.
  • The User’s Event Data will be available to third parties, based on the legitimate interest of SoRND or on the basis of the User’s voluntary consent to their processing. Such data shall include in particular location data generated by the User’s Device.

8. Data May Made Available by You

  • By posting content in COHESION, you revoke any ownership or rights on the content or any part of it. We recommend you make sure no personally sensitive information is inserted to your posts.
  • Any information or Content that you voluntarily disclose for posting to the Service, such as Event Data Content, becomes available to the FAPs.  Once you have shared your Event Data, that Content may be re-shared by others.
  • Any Content you disclose may be searchable by other Users and subject to use under our Terms of Use, which incorporates the terms of this Privacy Policy.
  • Suppose you remove information that you posted to the Service. In that case, copies may remain viewable in cached and archived pages of the Service or if other Users or third parties using the Service have copied or saved that information.

9. Analytics information and Third-Party Services to SoRND

We will not be exposed to Event Data directly, but if it was disclosed to us:

  • We may use third-party analytics tools to help us measure traffic and usage trends for the Service. We collect and use this analytics information with analytics information from other Users so that it cannot reasonably be used to identify any particular User.
  • We may use other services hosted by third parties to assist in providing our Service and help us understand our Users’ use of our Service. These third-party services may collect information sent by your Device when you use the Service auch as IP address, Device type, operating system version, network information, technical characteristics of your Device or its software, language settings, and usage information relating to your use of the Service, unique or persistent identifiers associated with your Device (such as UDID, MAC address, IFA, or identifiers derived from your Device’s technical Information).

10. Third-Party Services and Websites

  • The Services and/or the Platform may link to third-party websites or services. This Privacy Policy does not govern the privacy practices of those third parties. We are not responsible for the practices employed by any websites or services linked to or from our Service, including the Information or Content contained within them. Please remember that when you use a link to go from our Service to another website or service, our Privacy Policy does not apply to those third-party websites or services. Your browsing and interaction on any third-party website or service, including those that have a link on our website, are subject to that third party’s own rules and policies. In addition, you agree that we are not responsible and do not have control over any third parties that you authorize to access your Content. If you are using a third-party website or service and allow them to access your Content, you do so at your own risk.
  • Suppose you connect to a third-party service (such as Facebook, Instagram, LinkedIn, Google, PayPal, or another third-party application) through the Services and/or the Platform or otherwise link your User Account with a third-party service. In that case, you request and authorize us to share or grant access to information on your behalf (such as your username, the fact that your connection originated from the Services and/or the Platform, and other relevant usage and diagnostic Information) with such third party. We may also send information about the Content you watch or your activities on the Services and/or Platform to such third parties.

11. Transfer of Your Information

We will not be exposed to Event Data directly, but if it was disclosed to us:

  • Event Data collected through the Service may be stored and processed as per the FAP’s own discretion. Event Data disclosed to us may be stored and processed in the State of Israel or any other country in which SoRND, its Affiliates, or Service Providers maintain facilities.
  • SoRND, its Affiliates or Service Providers may transfer Event Data across borders and from your country or jurisdiction to other countries or jurisdictions worldwide. If you are located in the European Union or other regions with laws governing data collection and use that may differ from Israeli law, then please note that we may transfer Event Data to a country and jurisdiction that does not have the same data protection laws as your jurisdiction.
  • By registering for and using the Service you consent to the transfer of Event Data to Israel or to any other country in which SoRND, its Affiliates, or Service Providers maintain facilities and the use and disclosure of information about you as described in this Privacy Policy.

12. Privacy Protection Rules

  • The collection of Event Data disclosed to SoRND is treated as a database with a high degree of security, stored on a server protected against remote and physical access. SoRND applies appropriate technical and organizational measures to ensure a degree of security corresponding to the risk of violation of Users’ rights and freedoms. However, no security precautions or systems can be completely secure. SoRND cannot ensure or warrant the security of any information you transmit to SoRND, and you do so at your own risk. SoRND cannot guarantee that such information may not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards.
  • Please do your part to help us. You are responsible for maintaining the secrecy of your unique mobile device password and account information, and for controlling access to it. We are not responsible for the functionality, privacy, or security measures of any other organization.

13. Time of Processing of Event Data

We will not be exposed to Event Data directly, but if it was disclosed to us, SoRND processes the Event Data until there is a basis not to do so, which includes:

  • SoRND, its Affiliates, or its Service Providers may retain information (including your account information) and Content for a commercially reasonable time for backup, archival, and/or audit purposes.
  • If User consent grants, when the consent has been revoked, restricted, or other actions have been taken on the User’s part to limit the consent.
  • If performing a contract is necessary, for the period of the necessity.
  • If the processing is based on a legitimate interest of the administrator, then until the User objects effectively; and
  • If based on tax and accounting purposes, until such time and to the extent in accordance with applicable regulations.

14. Children’s Privacy

The Service and its Content are not directed, and SoRND does not knowingly collect or solicit information from anyone under the age of 13 or 18 who has not received permission from a parent or legal guardian to use the Service.  SoRND does not knowingly allow such persons to register for the Service. Suppose we learn that we have collected Event Data from a child under age 13, or a child under the age of 18 who has not received permission from a parent or legal guardian to use the Service. In that case, we will delete that information as quickly as possible.

15. Communicate with you

  • SoRND may send push messages through the Application to communicate with you, including notifying you of major updates to the Services or the Platform for customer service purposes or contacting you regarding any content that you have posted to or downloaded from the Services/or Platform.
  • SoRND may also ask for your consent to process information for a specific purpose that we communicate to you. When you consent to SoRND processing information for a specified purpose, you may withdraw your consent at any time, and we will stop processing your data for that purpose.

16. COOKIE POLICY

COHESION does not use “cookies” explicitly. However, the app may use third party code and libraries that use “cookies” to collect information and improve their services. You have the option to either accept or refuse these cookies and know when a cookie is being sent to your device. If you choose to refuse our cookies, you may not be able to use some portions of this Service.

17. Changes and Updates to this Privacy Policy

  • Company reserves the right to change, modify, add, or remove portions of this Privacy Policy at any time (for example, to reflect updates to the Services or to reflect changes in the law). Please check this Privacy Policy periodically for those changes. Your continued use of the Services after the posting of changes constitutes your binding acceptance of such changes.
  • We will not materially change our policies and practices to make them less protective of personal information collected in the past under a prior version of the Privacy Policy without the consent of affected individuals.

18. Governing Law; Choice of Venue

  • This Privacy Policy and your relationship with us shall be governed by the laws of the State of Israel, without regard to any law conflict principles. 
  • You agree that all claims asserted by or against us arising out of or related to This Privacy Policy shall solely be heard and determined in a court located in Tel Aviv, Israel.
